Dear Customer April 2006

As President of Image Access Europe, I am writing this letter to you to clarify some business relationships with our partners as well as the ownership of trademarks, sales regions and vertical markets.

Image Access GmbH (Europe, Germany ) and Image Access Inc. ( USA ) are sister companies working closely together in the areas of hardware and software product development, sales and market development.

All scanners equipped with Scan2Net technology including the WideTEK48 large format, WideTEK Super B flatbed, all current Bookeyeâ planetary scanners and other scanner product lines are exclusively developed and manufactured in Europe .

Image Access Inc. contributes application level software, such as BSCAN, KIC and OPUS, specifically tailored toward vertical markets. Our US-based sister company is also a member of the strategic planning committee that paves the way for future product developments.

Image Access GmbH and Image Access Inc. have both been successful in the industrial market since their establishment in 1994. After the product line of planetary scanners was developed in the late 90s, both companies saw a need to address the university world in a different way than the legacy industrial business.

Image Access GmbH then partnered with ImageWare Components, Germany , as they were already experts in the library equipment area.  An agreement was signed allowing ImageWare Components to exclusively sell the scanners then known as Bookeyeâ scanners in Europe and other territories.

Image Access Inc. followed with the founding of their subdivision DLSG, Digital Library Systems Group, and acquired the Bookeyeâ trademark and market rights exclusively for the US and Canada.

ImageWare also developed library specific application software dedicated mainly to the needs of European customers. To be able to sell this software on the US market, all parties agreed to engage an ImageWare reseller to market the product under a different brand name and only in a bundle with the ImageWare owned software BCS-2.

The hardware of the equipment bundle which this reseller offers is identical in technical terms but the software is not. If you own BSCAN, OPUS or KIC; it will not work together with the OEM version of this scanners and vice versa.

I hope that this letter is helpful in the evaluation of any offers and/or tenders you have received or will receive in the future.

Should you have any questions regarding this letter or wish to clarify any pending offers, please do not hesitate to contact the appropriate sales partner. For information about Bookeyeâ products outside of the US contact www.imageware.de, in the US and Canada www.dlsg.net and for all other products www.imageaccess.com or www.imageaccess.de.

Best regards
Thomas Ingendoh / President & CEO
